These Terms of Service ("Terms") govern your access to and use of the ZEC TRADING website and any services we make available. By accessing the site or engaging our services, you agree to these Terms on behalf of your organisation.

1. Acceptance of terms

By accessing this website or using any ZEC TRADING service, you confirm that you have read, understood and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the site or services. Where commercial services are provided, a separate master services agreement ("MSA") will govern that relationship and will prevail over these Terms in the event of any conflict.

2. Eligibility — business use only

ZEC TRADING provides infrastructure and technology services exclusively to businesses and institutions. The website and services are not intended for, and may not be used by, retail consumers. By using the services you represent that you are acting on behalf of a duly organised entity, that you are authorised to bind that entity, and that your use complies with all laws and licences applicable to you.

3. The services

Our services comprise software, APIs and infrastructure for digital-asset businesses, including matching, custody, liquidity, compliance, OTC and staking modules. We may add, modify, suspend or discontinue features at any time. We do not provide investment, legal, tax or accounting advice, and nothing on the website constitutes a solicitation or recommendation to transact in any asset.

4. Accounts & access credentials

Where we issue API keys, sandbox credentials or accounts, you are responsible for keeping them confidential and for all activity conducted under them. You must notify us immediately of any suspected unauthorised use. We may suspend access where we reasonably believe credentials have been compromised or used in breach of these Terms.

5. Acceptable use

You agree not to:

• Use the services in violation of any applicable law, sanctions regime or regulation.
• Attempt to gain unauthorised access to, disrupt or reverse-engineer the services or underlying systems.
• Use the services to facilitate money laundering, terrorist financing, fraud or market abuse.
• Resell, sublicense or misrepresent the services without our written authorisation.
• Introduce malware, conduct unauthorised penetration testing, or impose unreasonable load on our infrastructure.

6. Intellectual property

The website, services, software, documentation, trademarks and all related intellectual property are owned by ZEC TRADING or its licensors. Subject to these Terms and any applicable MSA, we grant you a limited, non-exclusive, non-transferable right to access the services for your internal business purposes. No other rights are granted.

7. Fees

Fees for commercial services are set out in your order form or MSA. Unless stated otherwise, fees are exclusive of taxes, payable in the currency specified, and non-refundable. We may revise pricing on renewal or with reasonable notice as set out in your agreement.

8. Third-party services

The services may interoperate with third-party networks, blockchains, liquidity venues and providers. We are not responsible for the availability, security or conduct of those third parties, and your use of them may be subject to their own terms.

9. Disclaimers

The website and services are provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the services will be uninterrupted, error-free or secure, save as expressly committed in an applicable service-level agreement. Digital assets are volatile and involve significant risk.

10. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill. Our aggregate liability arising out of or relating to the services will not exceed the fees paid by you for the services in the twelve months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.

11. Indemnity

You agree to indemnify and hold harmless ZEC TRADING and its officers, employees and agents from any claims, losses or expenses arising out of your breach of these Terms, your misuse of the services, or your violation of applicable law or the rights of any third party.

12. Term & termination

These Terms apply while you use the website or services. We may suspend or terminate your access immediately if you breach these Terms, if required by law, or to protect the integrity of our systems. Provisions that by their nature should survive termination — including intellectual property, disclaimers, liability and governing law — will survive.

13. Governing law & disputes

These Terms are governed by the laws of England and Wales, without regard to conflict-of-laws principles. The courts of England and Wales will have exclusive jurisdiction over any dispute, except where a separate MSA specifies an alternative forum or arbitration.
